CitySocialising is a social networking website and events club and provides a way for adults to connect with and meet each other for social events and activities ('Socials') in cities across the UK. This is a legal agreement ("Agreement") between you and CitySocialising. Please read the Agreement carefully before registering or booking to attend a Social through CitySocialising. By registering or booking to attend a Social with CitySocialising, you agree to the terms and conditions of this Agreement (the "Terms"). If you do not agree to the terms, please do not register or book to attend a Social through CitySocialising. The terms are subject to change by CitySocialising at any time, effective upon notice to you.
Advertisers, please read the "Advertisers - Business/Service Listing Charges" and "Advertisers - Termination of Account" carefully before you agree to the terms and conditions of this agreement. This is a legal agreement ("Agreement") between you and CitySocialising. By registering and listing your business/service on the CitySocialising site, you agree to the terms and conditions of this Agreement (the "Terms"). If you do not agree to the terms, please do not register or create a business/service listing on the CitySocialising site. The terms are subject to change by CitySocialising at any time, effective upon notice to you.
Minors may not become members
By agreeing to register with CitySocialising or attend a Social organised through CitySocialising, you represent and warrant that you are at least 18 years old. Either you or CitySocialising may prevent you from registering and attending a Social through CitySocialising at any time, for any reason, without explanation, effective upon sending written notice to the other party. CitySocialising reserves the right to immediately suspend or terminate your access to the CitySocialising website, or to an off-line Social organised by CitySocialising, without notice, upon any breach of this Agreement by you which is brought to CitySocialising’s attention. Upon registering for a Social through CitySocialising it is for your sole, personal use. You may not authorize others to attend an event of your behalf. You are responsible for logging out if your computer is accessible to others. This prevents unauthorized access.
Indemnity by user
You will defend, indemnify, and hold harmless CitySocialising, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable solicitors' fees) relating to or arising out of your use of CitySocialising, including any breach by you of the terms of this Agreement.
Online content
Opinions, advice, statements, offers, or other information or content made available through CitySocialising, but not directly by CitySocialising, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content. CitySocialising does not guarantee the accuracy, completeness, or usefulness of any information on the service and neither adopts nor endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made by parties other than CitySocialising. Under no circumstances will CitySocialising be responsible for any loss or damage resulting from anyone's reliance on information or other content posted on CitySocialising or transmitted to CitySocialising users.
CODE OF CONDUCT
When using CitySocialising, you agree that:
- You are solely responsible for your conduct at events and the content or information you publish or display (hereinafter, "post") on CitySocialising, or transmit to other CitySocialising Members.
- You will not post on CitySocialising, or transmit to other CitySocialising Members or Employees, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity).
- You will use CitySocialising in a manner consistent with any and all applicable laws and regulations.
- You will not include in your profile any telephone numbers, street addresses, last names, URL's or E-mail addresses other than where asked for it in the Confidential Personal Information section.
- You will not include in your profile any offensive anatomical or sexual references, or offensive sexually suggestive or connotative language, and you will not post any photos containing nudity or personal information. CitySocialising reserves the right, but has no obligation, to reject any profile or photo that does not comply with these prohibitions.
- You will not engage in advertising to, or solicitation of, other members to buy or sell any products or services through CitySocialising. You will not transmit any chain letters or junk E-mail to other CitySocialising members.
- You will not post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights.
- You are solely responsible for your interactions with other CitySocialising Users. CitySocialising reserves the right, but has no obligation, to monitor and/or mediate disputes between you and other Members.
- You are solely responsible for ensuring that you are at the correct meeting venue at the correct time, as we cannot be liable for any loss or expense suffered by Members because of their late arrival. It is your responsibility to ensure that you adhere to all itinerary instructions and Regulations provided by CitySocialising and follow any instructions as displayed in your Social Diary or given to you by your host or representative.
Through our services we arrange for our users to physically meet up at private and public venues. Although a member from CitySocialising may volunteer to host these events, they are not responsible in any way with the actions of any individuals at these events or for the personal safety of any individuals attending the event. Hosts are only required to remain vigilant and welcome new arrivals for the first hour of the Social. We request that CitySocialising users exercise caution and good judgment when attending these events and refer to our online Safety Guidelines.
Warning - please read this
It is possible other CitySocialising users (including unauthorized users, or "hackers") may post or transmit offensive or obscene materials on the CitySocialising site and that you may be involuntarily exposed to such offensive and obscene materials. CitySocialising is not responsible for the use of any personal information that you disclose on the site. Please carefully select the type of information that you post on the CitySocialising site or release to others. CitySocialising reserves the right, but has no obligation, to monitor the materials posted in the public areas of CitySocialising site. CitySocialising shall have the right to remove any such material that in its sole opinion violates, or is alleged to violate, the law or this agreement. Notwithstanding this right of CitySocialising, you remain solely responsible for the content of the materials you post in the public areas of the service and in your private e-mail messages. E-mails sent between you and other CitySocialising users that are not readily accessible to the general public will be treated as private by CitySocialising to the extent required by applicable law.
Membership Charges
(a) Registration and access to much of the site is free. However, for unlimited use of the site and other benefits, a membership subscription fee must be paid. Prices are inclusive of VAT. Payment shall not be deemed to have been made until CitySocialising has received cleared funds in respect of the full amount outstanding.
Subject to any special terms agreed, the Member shall pay CitySocialising the appropriate Membership Fee for Full membership status.
Upgrading from Regular membership to Full membership is entirely at CitySocialising’s discretion and CitySocialising reserves the right to refuse to register any application to upgrade for any reason whatsoever.
(b) All Full Membership Fees are non-refundable. Cancellation and/or termination of membership for any reason does not entitle the Member to any refund.
(c) CitySocialising operates a Continuous Service Agreement for our Membership Fees. This means that CitySocialising automatically renews your membership when it’s about to expire. Continuous service rates apply to credit/debit card payments only and are applicable both if you join as a member online or we manually process your card details. All amounts are billed in UK sterling at the beginning of each renewal period. Your CitySocialising Full Membership subscription will be automatically extended for successive renewal periods of the same duration as the subscription term originally selected at the then-current membership subscription rate. To change or resign your subscription at any time, please see section titled ‘Termination’ below. If you cancel your membership, you'll enjoy membership benefits until the end of your then-current subscription term; your subscription won't be renewed after that term expires. However, you won't be eligible for a proratad refund of any portion of the subscription fees paid.
Current Continuous Service Rates for the London service: 1 month’s membership for £19.99, £44.99 for a 3 month subscription and £64.99 for 6-monthly subscription.
Current Continuous Service Rates for non-London services: 1 month’s membership for £12.99, £29.99 for a 3 month subscription and £42.99 for 6-monthly subscription.
Event Booking & Charges
(a) Regular members (non-subscribers) are required to pay a standard fee (£7.50 - £9) to attend Socials organised by CitySocialising. Full members are exempt from paying this fee. When booking a Social you must pay the full amount for that event via CitySocialising's ProTX online payment system. Alternatively if we have your verbal authority to deduct payment from your credit/debit card over the phone it is understood that you have accepted our terms and conditions. We reserve the right to charge an ‘offline’ price for manually booking members on an event if booking is arranged over the phone or email instead of the member booking themselves on the event online. This may be higher than the advertised price. These terms and conditions together with the general information provided on the Website for each individual Social is the basis of your contract for each Event. This particular contract will come into existence when we despatch a confirmation receipt.
(b) For both Regular and Full members there may be additional charges for certain Socials or Services which a Member wishes to apply for. When booking a Social you must pay the full amount for that event via CitySocialising's ProTX online payment system. Alternatively if we have your verbal authority to deduct payment from your credit/debit card over the phone it is understood that you have accepted our terms and conditions. We reserve the right to charge an ‘offline’ price for manually booking members on an event if booking is arranged over the phone or email instead of the member booking themselves on the event online. This may be higher than the advertised price. These terms and conditions together with the general information provided on the Website for each individual Social is the basis of your contract for each Event. This particular contract will come into existence when we despatch a confirmation receipt.
(c) It is possible that circumstances may force us to make changes to the Social. These changes will fall into two categories:- minor changes and major changes. Minor changes take the form of changes in departure or return times by less than 12 hours, changes to departure point or other mode of transport, or changes to a similar location. Major changes are those including changes to departure time by more than 12 hours. In the event of a major change you can continue with the Social as amended, accept an alternative Social we may offer you or cancel your booking getting a full refund.
(d) Your booking for a Social cannot be exchanged, transferred or resold and will be subject to the Regulations applicable for that Social.
Refund & Cancellation Policy & Charges
Access to the majority of the CitySocialising website and registration to become a CitySocialising Regular member is free. Upon booking your place at a Social organised by CitySocialising, the relevant fee will be accepted through online payment processing company ProTX.
(a)If 24 hours before the Social is due to take place, less than 6 people have registered to attend, you will be informed up to 12 hours before the Social and CitySocialising will give you the option to transfer to another Social of the same fee value, or to receive a refund of the fee paid within 14 days.
(b) If you cannot attend a Social that you have booked your place on, and only if, you provide CitySocialising with your notice of cancellation more than 7 days before the Social is due to take place, you will be provided with a 100% refund within 14 days or the option to transfer onto another Social to the same fee value or less, with the difference being refunded within 14 days.
(c)If you cannot attend a Social that you have booked your place on, and notice of cancellation is provided between 48 hours and 7 days in advance, no refund will be provided but it will be at CitySocialising’s discretion to transfer you onto an alternative Social to the same fee value or less.
(d)If you are no longer able to attend a Social and do not cancel your place, a £5 "Non-cancellation charge" will be made to your card.
(e)Additionally, if you cancel your place to the Social less than 48 hours before it is due to take place, a £5 "Late-cancellation charge" will be made to your card.
Termination
A Member may terminate their membership with CitySocialising at any time:
You can cancel your Regular Membership by emailing cancel@citysocialising.com and we will terminate your account and delete your profile within 48 hours.
You can cancel your Full membership subscription via the Full membership area of the site. If your request for termination is received before your next payment is due, your Full membership status will last until the end of the original subscription period paid for.
If your request for Full membership termination is received before your next payment is due, but you have booked yourself onto a Social that is due to take place after the date that your paid-for subscription period is due to end, your subscription will be continued for the next period and you will need to notify us again, via the Full membership area of the site, of your wish to terminate your Full membership subscription once the Social has taken place.
CitySocialising may terminate or suspend the membership of any Member at any time for any reason whatsover.
Advertisers - Business/Service Listing Charges
(a) Creating an advertising account and a business/service listing is free. To make a listing live on the CitySocialising site however, a Subscription Dee must be paid. Prices are inclusive of VAT. Payment shall not be deemed to have been made until CitySocialising has received cleared funds in respect of the full amount outstanding.
Subject to any special terms agreed, the Advertiser shall pay CitySocialising the appropriate Fee to list their business/service on the CitySocialising site.
(b) All Advertising Fees are non-refundable. Cancellation and/or termination of an account or listing for any reason does not entitle the Advertiser to any refund.
(c) CitySocialising operates a Continuous Service Agreement for our Advertising Fees. This means that CitySocialising automatically renews your listing when it is about to expire. Continuous service rates apply to credit/debit card payments only and are applicable both if you join as an Advertiser online or we manually process your card details. Current Continuous Service Rates for non-London services: 3 month’s listing for £52.88 (inc VAT), £70.50 (inc VAT) for 6 months and £116.32 for 12-monthls.
Advertisers - Termination of Advertising Account
A Member may terminate their membership with CitySocialising at any time:
You can cancel your Advertising account by emailing your request to advertise@citysocialising.com. Upon receipt of your request we will terminate your account within 48 hours.
You can cancel your Advertising subscription for each listing you create via your account, accessed through the login section on the Advertisers page. If your request for termination is received before your next payment is due, your Business/service listing will last until the end of the original subscription period paid for.
CitySocialising may terminate or suspend the accounts of any Advertisers at any time for any reason whatsover.
Proprietary Rights
CitySocialising owns and retains other proprietary rights in all services offered by citysocialising. CitySocialising contains the copyrighted material, trademarks, and other proprietary information of CitySocialising, its licensors and licensees. In addition, other Members may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. Except for that information which is in the public domain or for which you have been given permission, you will not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information. By posting information or content to any public area of CitySocialising, you automatically grant, and you represent and warrant that you have the right to grant to CitySocialising and other CitySocialising Members an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, perform, display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing.
Information supplied by member
CitySocialising will keep confidential all information supplied by you to CitySocialising, including credit card number(s), and shall use or disclose such information only for the purposes for which such information was collected, or as required by law. Complaints
To resolve a complaint regarding CitySocialising, you should first contact CitySocialising Customer Support by clicking on the "Contact Us" button or via email to contact@citysocialising.com.
Disclaimer
CitySocialising is not a matchmaking service. Our aim is to provide a way to meet groups of people for Social events and acitvities across the UK and connect and network online with like minded people. CitySocialising does not verify personal information on its participants, such as marital status or any other aspects of their general background. It is up to you to clarify these issues to your own satisfaction.
CitySocialising does not have the ability to independently screen participants registering as members or to attend its organised Socials. By registering to become a member or to attend a Social through CitySocialising, you are agreeing that neither CitySocialising is liable for any damages, direct or indirect, that may in any way arise out of CitySocialising program. This includes, without limitation, damages arising out of travelling to and from a Social, meeting or communicating with other participants and the actions of other participants in programs sponsored by CitySocialising.
Disclaimer of warranty
CitySocialising provides service on an "as is" basis and grants no warranties of any kind, expressed, implied, statutory, in any communication with CitySocialising or its representatives, or otherwise with respect to the service. CitySocialising specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. CitySocialising does not warrant that your use of CitySocialising will be secure, uninterrupted, always available, or error-free, or will meet your requirements, or that any defects in the service will be corrected. CitySocialising disclaims liability for, and no warranty is made with respect to, connectivity and availability.
Limitation of liability: In no event will CitySocialising be liable to you for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of data, loss of programs, cost of procurement of substitute services or service interruptions) arising out of the use of or inability to use CitySocialising, even if CitySocialising or its agents or representatives know or have been advised of the possibility of such damages, or to any person other than you. Notwithstanding anything to the contrary contained herein, CitySocialising's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to CitySocialising for the service during the term of membership.
CitySocialising does not screen the members registering for services offered by CitySocialising in any way. As a result CitySocialising will not be liable for any damages, direct, indirect, incidental and/or consequential, arising out of communicating and/or meeting with other members of this service, or introduced to you via this service. CitySocialising is not liable for the integrity of statements made by members as to their identity and general background. It is incumbent and advised upon the user to verify any and all information relating to but not limited to this subject. It is advised to check references of any user.
Nothing in this agreement shall exclude or limit our liability to the user for death or personal injury resulting from the negligence of CitySocialising or that of the employees or agents of CitySocialising or any liability which is due to our fraud or any other liability which we are not permitted to exclude or limit as a matter of law.
If any term is held to be invalid, unlawful or unenforceable, it shall not affect the enforceability of any of the remaining terms
